The provisions of this section (Permitted Use) apply to your personal use of the online portal (Portal) that Enerlytica Limited (Enerlytica) provides for its corporate clients to access material and data provided under Enerlytica’s New Zealand | Energy service (together, Material).
You may only access the Portal and use the Material on behalf of an organisation which, at the time you access, has a current contract with us to use the Material (the Client).
You acknowledge and agree that, unless Enerlytica’s contract with the Client provides otherwise:
- You may only use the Material for the Client’s internal business purposes.
- You may only share the Material with individuals working as direct salaried employees, directly contracted personnel or board members of the Client and its Affiliates. “Affiliates” means a company which the Client directly, or indirectly through one or more intermediaries, controls, or is controlled by, or is under common control with another party. For this purpose, control means the direct or indirect ownership of in aggregate fifty per cent or more of voting capital.
- Under no circumstances may you:
- sell, transfer, copy or transmit the Material, or any part of it, in print, electronic or other medium, to any other person without Enerlytica’s written permission; or
- modify, adapt, translate, reverse engineer, decompile, disassemble or create derivative works based on any of the Material, or merge it with any software or document.
- You must seek Enerlytica’s approval before citing or referencing the Material in any publication. Enerlytica will not unreasonably withhold its approval to any such request. Any approved publication of an extract of the Material must be accompanied by a full acknowledgement of the publisher and source.
ADDITIONAL TERMS AND CONDITIONS
The provisions of this section (Additional Terms and Conditions) are incorporated into the Client’s contract with Enerlytica to use the Material. You warrant that you are authorised to agree these provisions on behalf of the Client (despite any provision in the contract that variations must be signed).
Subject to the section above (Permitted Use), there are no restrictions on the number of individuals who can access the Portal on the Client’s account (Users). To request access for a new User, please contact Enerlytica here.
The Client must ensure that:
- each User has a separate user name and password; and
- Users protect and do not share their user names or passwords, whether inside or outside their organisation.
The Portal is provided on an "as is" and "as available" basis. If Users encounter issues with using the Portal, they can contact Enerlytica here. Enerlytica will use reasonable endeavours to resolve any issues with the Portal, subject to any downtime required for maintenance, but has no responsibility for ensuring the operation of the Portal will be uninterrupted, timely, secure, or error free.
